Advantages and disadvantages of registering a company in Nevada

  • Protection of membership interests against an owner’s personal debts

Under Section 86.401 of Nevada law, if an LLC member’s creditor obtains a judgment to recover a personal debt, it may claim distributions owed to the debtor by the company. However, the creditor cannot demand a transfer of the membership interest or participation in managing the business. These rules also apply to single-member LLCs.

  • Separating assets between different projects

Nevada allows the formation of LLCs with separate structures known as series (Series LLCs). For example, separate series can be established for different investment projects, each owning its own property and entering into contracts. If members document the separation of liability and maintain separate asset records, the debts of one series cannot be recovered from the assets of the others or the LLC as a whole. Outside Nevada, this protection must be assessed in light of local law.

  • No state income tax

Nevada levies neither personal income tax nor state corporate income tax. This may reduce the tax burden compared with states that impose these taxes. Federal taxes and other mandatory fees still apply.

  • Flexible allocation of members’ rights

An LLC may give different rights to different groups of owners. For example, some members may make business management decisions, while others invest funds and receive a share of profits. These arrangements are set out in the Articles of Organization or Operating Agreement.

  • Mandatory costs regardless of income

When registering an LLC in Nevada, you must pay state fees for the Articles of Organization, the initial list of managers, and the business licence. After registration, you must update management information and renew the licence annually, as well as pay for an external registered agent if you appoint one. These costs continue even if the company is inactive and earns no income until it is formally closed.

  • Disclosure of management information

When registering an LLC in Nevada, you must disclose the names, positions, and addresses of managers or members who directly manage the company. This information is submitted to the Secretary of State and updated annually. It becomes publicly available, so management details cannot remain confidential. Other owners who do not participate in management do not need to be included in this list.

Requirements for registering an LLC in Nevada

Company name

The LLC’s name must be distinguishable from those of other entities registered or reserved in Nevada. Under NRS 86.171, it must include a legal form designation, such as Limited Liability Company, LLC, or L.L.C. Before filing, the chosen name is checked through the Nevada Secretary of State’s electronic registry.

Company structure

When registering an LLC, the owners and persons responsible for management must be identified. The organizer signing the Articles of Organization does not have to be an owner or manager of the company.

badge check

Founders and members

One member is sufficient to form an LLC. This may be an individual or legal entity from any country; US citizenship and Nevada residence are not required.

badge check

Director or manager

An LLC does not need to appoint a director or establish a board of directors. A manager may be an owner or an outside person. At registration, the initial list must include all managers or, if none are appointed, the members directly managing the company.

badge check

Company secretary

Appointing a corporate secretary is optional for an LLC. A member, manager, or external specialist may handle minutes, internal documents, and other administrative tasks.

badge check

Beneficial owner

An Ultimate Beneficial Owner (UBO) is an individual who owns the LLC or controls its activities directly or through other entities.

When opening a corporate account, the bank may request documents confirming the ownership structure, beneficial ownership information, and the source of funds. The specific list depends on the financial institution’s requirements.

Registered agent

Every LLC must appoint a registered agent. This may be an individual resident in Nevada or an entity authorized to operate in the state. The agent receives service of process and official documents at its physical address in Nevada and forwards them to the company.

The selected agent’s consent to appointment must be obtained during registration. Its services are required throughout the LLC’s existence.

Registered office

The registered office is the registered agent’s physical address in Nevada, stated when forming the LLC. The agent receives service of process and other official documents there. A post office box cannot be used instead.

The company itself does not have to rent premises in Nevada: its principal office may be in another state or outside the United States.

Register of beneficial owners

In August 2026, the US Financial Crimes Enforcement Network (FinCEN) permanently exempted US companies from filing Beneficial Ownership Information (BOI).

This rule also applies to Nevada LLCs with foreign owners. However, banks can still verify business owners, and management information must be filed with the state registry.

Business activities

Nevada LLCs are registered for business in various sectors, including international trade, IT development, consulting, e-commerce, and asset management. Certain activities, including financial, insurance, and medical services, require specific licences and permits.

Doing business within Nevada may require permits from the relevant city or county in addition to the state business licence.

Company seal

A corporate seal is not required to register an LLC. When entering into contracts or preparing internal documents, the signature of an authorised person, such as a member, manager, or other representative, is generally sufficient.

A seal may be obtained voluntarily, for example, if required by internal company rules or for dealings with foreign counterparties. It may also be obtained after LLC registration.

Economic substance

Registering an LLC in Nevada does not require renting an office, hiring local employees, or actually operating within the state. The owner may be outside the United States and manage the business remotely.

Having no US office or employees does not exempt an LLC from tax and reporting obligations. These depend on its tax regime, transactions, and owners’ status.

Capital and membership interests

Registering an LLC in Nevada does not require a specified amount of capital or an advance deposit into an account. Members decide how much to invest in the business and the ownership interests they will hold.

Contributions may consist of money, property, property rights, or services already performed. Under NRS 86.321, a member may also undertake to contribute funds, transfer property, or perform work in the future. Contribution amounts, ownership interests, and profit distribution procedures should be set out in the operating agreement.

Procedure for registering an LLC in Nevada

  1. Step 1. Determining membership and management

Offshore Pro Group experts first clarify the ownership composition, LLC management arrangements, and intended activities. We also check members’ tax residence and the availability of the chosen name to gather the information needed for registration and subsequent business setup.

  2. Step 2. Appointing a registered agent

We select a Nevada registered agent and agree to the service terms and address for receiving official correspondence. We then obtain confirmation of the agent’s consent to appointment. This information is needed to prepare the LLC’s Articles of Organization.

  3. Step 3. Preparing the registration documents

The principal document is the LLC’s Articles of Organization. It must state the entity’s name and details of the organizer, registered agent, and persons who will manage the business.

We also prepare the Initial List of Managers or Managing Members, together with the State Business License application.

  4. Step 4. Filing documents and paying fees

We submit the prepared documents to the Nevada Secretary of State. At the same time, we pay the registration fee, the initial management list filing fee, and the state business licence fee.

After checking the documents, the Nevada Secretary of State registers the LLC. We then receive registration confirmation and the state business licence.

  5. Step 5. Preparing internal documents and obtaining an EIN

After registration, Offshore Pro Group experts help prepare the Operating Agreement. If required, we also assist with obtaining a federal Employer Identification Number (EIN). We prepare Form SS-4 and help submit it to the IRS. This number helps meet tax obligations and is often requested by banks when opening a corporate account.

Documents required for company registration in Nevada

The document list depends on the LLC’s membership. Offshore Pro Group experts request the materials needed to verify owners’ identities, ownership structure, and representatives’ authority. Documents collected for internal due diligence are not necessarily filed with the state registry.

Taxes for companies in Nevada

Taxation of a Nevada LLC depends on its number of members, chosen tax regime, and where it does business. In addition to federal taxes, a business revenue tax and, in some cases, a tax calculated on employee wages may apply. Selling goods may also require collecting sales tax from customers.

State income tax

Nevada has neither personal income tax nor corporate income tax. Regardless of its chosen tax regime, an LLC therefore does not pay such tax to the state.

However, profits may be taxed at the federal level. Depending on the regime, this tax is paid by the LLC’s owners or the company itself. Doing business in other US states may also create tax obligations there.

Federal income tax

By default, a single-member LLC does not pay federal income tax separately from its owner: business income and expenses are taken into account when calculating the owner’s tax obligations. With two or more members, partnership tax rules apply: profits are allocated among the owners, and each owner’s obligations depend on their share and tax status, even if the money remains in the LLC.

LLC owners may elect a different tax regime, equivalent to that of a C Corporation (C-Corp). The company then pays federal tax at 21%. This is calculated on profits after deducting allowable expenses, not total revenue.

Taxation of foreign members

If an LLC with foreign owners has not elected C-Corp taxation, owners’ tax obligations depend on the type of income and US business activities. Registering in Nevada does not itself mean that all profits are subject to federal taxation. However, Effectively Connected Income (ECI) from a US trade or business is generally taxable after allowable deductions. This may include, for example, profits from trading goods within the country. If C-Corp treatment is elected, the LLC itself pays federal tax on taxable profits, including foreign-source income.

If an LLC has several members and is taxed as a partnership, tax on the share of profits attributable to foreign owners and connected with US business must be remitted in advance. Rates of 37% for individuals and 21% for legal entities generally apply. The LLC remits these amounts even if owners have not yet received their share of profits. Foreign members may subsequently credit the tax already paid when filing their US tax returns.

Commerce Tax

Nevada Commerce Tax is payable if revenue attributable to the state exceeds USD 4 million in a tax year. Unlike income tax, it is calculated on revenue before business expenses are deducted. Only the amount above USD 4 million is taxed, and the rate depends on the industry.

The Commerce Tax year runs from 1 July to 30 June of the following year. If Nevada revenue exceeds USD 4 million, the return must be filed and tax paid within 45 days after the period ends. Below that threshold, neither Commerce Tax nor a return is required.

Sales and Use Tax

Sellers of most goods in Nevada must collect sales tax from buyers and remit it to the state. The minimum rate is 6.85%, but it may be higher depending on the county. For example, Clark County, where Las Vegas is located, applies a rate of 8.375%.

For remote sales, even out-of-state sellers may be required to collect tax. If revenue from sales delivered to Nevada exceeds USD 100,000, or the number of such transactions reaches 200, in the current or previous calendar year, the seller must register with the state tax authority and remit tax on taxable sales. The rate is determined by the delivery location.

Use tax applies when taxable goods are purchased for use or storage in Nevada without the corresponding sales tax being paid at purchase. For example, if a company orders equipment from an out-of-state supplier, it must calculate and remit the tax itself if the seller has not collected it. The rate depends on the county where the purchased goods are used and matches the local sales tax rate.

Payroll taxes and contributions

When hiring US employees, an employer must withhold federal income tax and Social Security and Medicare contributions from their wages. It also pays an employer share of these contributions from its own funds.

If employees work in Nevada, Modified Business Tax (MBT) may also apply. It is paid by employers covered by the state unemployment insurance system, subject to certain exceptions. For most businesses, the rate is 1.17% on wages exceeding USD 50,000 per quarter. Certain employer expenses for employee health insurance may be deducted when calculating the tax.

MBT returns are filed quarterly, even if no tax is payable. Employers covered by Nevada’s unemployment insurance system also pay the relevant state contributions. Federal FUTA tax must also be paid if at least USD 1,500 in wages was paid in any quarter of the current or previous year, or at least one person worked in 20 different calendar weeks.

Accounting, financial reporting and auditing

Duty to keep records

LLC owners or their appointed managers arrange records of income, expenses, and cash movements. Contracts, invoices, and payment documents are retained to substantiate transactions. If an LLC has a single foreign owner and has not elected corporate taxation, information about the owner’s contributions, loans, and transfers between the owner and company must be disclosed on Form 5472, filed with the IRS.

NRS 86.241 also requires an up-to-date list of members and managers, copies of formation documents, and the current operating agreement, if one has been entered into. By default, these documents are kept at the principal office in Nevada or entrusted to a custodian whose name and address are available through the LLC’s registered office. The Operating Agreement may provide otherwise.

Retention of accounting records

Documents supporting information in a tax return generally must be retained for at least three years after filing. In certain cases, this increases to six or seven years. Records relating to property acquisitions and disposals may be needed for longer.

Records relating to the calculation and payment of employment taxes must be retained for at least four years. This period runs from the tax due date or the date it was actually paid, whichever is later.

Financial reporting

A Nevada LLC does not have to submit an annual balance sheet and profit and loss statement to the Secretary of State. However, depending on its federal tax regime, the following filings may be required:

  • check circle

    Form 1065: a return for a multi-member LLC taxed as a partnership.

  • check circle

Form 1120: a return for a company electing C Corporation taxation.

  • check circle

Form 5472 together with a pro forma Form 1120: for a single-member foreign-owned LLC that has not elected corporate taxation, if the owner contributed money to the company, received payments from it, or carried out similar transactions, even without revenue.

Auditing

Nevada LLCs are not subject to a mandatory annual independent audit. However, an audit may be required under a loan agreement, by investors, or under specific rules for certain regulated activities.

Regulatory compliance

An LLC electing corporate taxation must file Form 5472 if a foreign owner directly or indirectly holds at least 25% of the company. The obligation arises when reportable transactions occur, such as loans to a foreign member or receipt of funds from that member.

Late filing of Form 5472, omitting required information, or failing to comply with supporting record retention rules carries a USD 25,000 penalty. If the company does not correct the failure within 90 days of an IRS notice, an additional USD 25,000 applies for each subsequent 30-day period or part thereof. Penalties may be assessed separately for failures involving multiple persons.

Annual company maintenance in Nevada

After LLC registration, owners must update management information and renew the state licence annually. These obligations continue even if the company is inactive and earns no profit. Additional costs include registered agent services and, when needed, preparing tax filings.

Registered agent

LLC owners must monitor the registered agent agreement’s term and renew it on time. If the company changes agents, managers must file the appropriate application with the Secretary of State and obtain the new agent’s consent to appointment.

Registered office

If the registered agent changes address, it must notify the Secretary of State. LLC owners should ensure the new information is entered in the registry to avoid problems receiving official notices.

Company renewal

Each year, the Annual List of managers or members directly managing the LLC must be filed with the Secretary of State, and the State Business License must be renewed.

State fees apply to filing the annual list and renewing the licence. Both procedures generally must be completed by the end of the LLC’s anniversary month. For example, a company formed in May must file by 31 May each year. An application to the Secretary of State can change the annual list filing month, but the new date must fall before the existing deadline.

Late renewal incurs penalties. Prolonged non-compliance may lead to loss of the right to do business in Nevada.

Corporate changes

When membership, ownership interests, or profit distribution arrangements change, owners prepare the relevant internal documents and update the operating agreement where necessary.

If the Articles of Organization need to change, for example, after a name change, managers file amendments with the Secretary of State. New managers or managing members are included in the next annual list or reported earlier in an amended list.

Beneficial ownership information and due diligence (UBO / Compliance)

When LLC ownership or ownership interests change, ownership information must be updated if required by the registered agent or servicing bank.

Accounting obligations

If the tax year follows the calendar year, Form 1065 is generally due by 15 March of the following year and Form 1120 by 15 April. Where required, Form 5472 is submitted with Form 1120 by the applicable deadline. If the filing deadline falls on a weekend or public holiday, it moves to the next working day.

Separate deadlines apply to returns and payments for Nevada taxes where the LLC is liable for them.

Banking services

After opening an account, the bank continues to monitor transactions and update client information as required under Customer Due Diligence (CDD). Staff may request documents confirming the source of funds, the nature of the LLC’s business, and the purpose of specific payments.

Changes in ownership, management, or other material circumstances must be reported to the financial institution as required by the agreement.

Opening a corporate bank account for a Nevada LLC

After LLC registration, owners may apply for a corporate account with a US or foreign bank. Payment institutions serving US companies are also available. However, Nevada registration does not guarantee approval; the decision depends on the financial institution’s requirements and the results of its business due diligence.

The application generally requires the Articles of Organization, a federal Employer Identification Number (EIN), the Operating Agreement, and owners’ documents. The bank may also request the business licence. Management information, business activities, and intended transactions are also checked.

Some banks and payment institutions allow remote account opening without traveling to the United States. Availability depends on the owners’ country of residence, the LLC’s activities, and the institution’s requirements. With these conditions in mind, Offshore Pro Group experts help you select a suitable option and prepare your application documents.
